Ohio Christian Service Brigade Constitution

ARTICLE I                  NAME

The name of the organization shall be called The Ohio Valley Region CSB Ministries, Inc.

ARTICLE II                PURPOSE

The primary purpose of the organization shall be to coordinate the efforts of CSB Ministries, Inc. in its ministry to the churches of Ohio. The ultimate aim is to provide coordination and communication between Brigade Units. The areas of responsibility will be as follows:
  1. To coordinate leadership education.
  2. To promote inter-Unit group activities.
  3. To assist existing units.
  4. To promote the establishment of new units.
  5. To encourage financial responsibility to CSB Ministries, Inc., Wheaton, Ill.
  6. To encourage fellowship among men in the like ministry.
  7. To coordinate the camping ministry of CSB Ministries in Ohio.
  8. To promote mentoring by men through equipping them for their roles as parents, as active Christian influences to youth, and as Christ-like examples to other men.
  9. To assist CSB Ministries staff with all of the above.
The aim shall be to discourage any activity that does not benefit the leader and/or boys of the local unit. The emphasis in all areas will be to a definite acceptance of Christ as Savior and Lord in every phase of life, and to develop Christian leaders among youth through leadership emphasis and training.

Ohio Valley Region CSB Ministries, Inc. and Regional Council are, in all areas, responsible to CSB Ministries, Inc. and their local Regional Director.

 

ARTICLE III              DIRECTORS

Section 1. GENERAL POWERS

The affairs of the organization shall be managed by a Board of Directors.

Section 2. QUALIFICATIONS

    (a) Each Board member shall bear a positive Christian Testimony as set forth in the Standard of Faith, (Ref. Article VIII) (b) The Directors must be able to reflect the interests of the CSB Units of Ohio, and must be familiar with the intent and purpose of CSB Ministries, (c) Each member must be a registered CSB Ministries member.
 

Section 3. DIRECTORS – ELECTIONS

  1. The following standing committee chairmen shall be elected to conduct the business of The Ohio Valley Region; this board of directors shall be known as The Ohio Valley Regional Council:
    1. Council Chairman

    2. Chairman-elect/Secretary

    3. Chaplain

    4. Treasurer

    5. Summer Camp Chairman

    6. Activities Chairman

    Men's Ministries Chairman

    8. Promotion Chairman

    9. Training Chairman

    10. Ohio Region District Base Committee Chairmen

    11. At-Large members

  2. CSB Ministries Regional Director for Ohio will serve on The Ohio Valley Regional Council with voting privileges and serve as Training Chairman.
  3. Directors shall be elected at the regular Ohio Valley Council meeting each April. They shall become operative as Chairman on July 1st following their election.
  4. The term of each director shall be for one year.
Section 4. NOMINATIONS
  1. The directors shall be nominated through a Nominating Committee appointed by the Chairman of the Ohio Valley Regional Council. The Nominating Committee shall be appointed at the regular council meeting in January of each year,
  2. A notice requesting candidates for nomination shall be sent to all Brigade Chairmen of The Ohio Valley Region two (2) months prior to the election.

Nominations must be received by the Nomination Committee one (1) month prior to the April meeting.

Section 5. ELECTION

The directors shall be elected at the April meeting of The Ohio Valley Regional Council.

Section 6. REGULAR MEETINGS

The Ohio Valley Regional Council shall meet regularly at the time and place determined by The Ohio Valley Regional Council or the Council Chairman. The Council Chairman shall preside at the regular meetings.

Section 7. SPECIAL MEETINGS

Special meeting of The Ohio Valley Regional Council may be called by the Council Chairman or by any three (3) directors up to or at least two (2) weeks written notice by mail to all directors. The person or persons authorized to call a special meeting of The Ohio Valley Regional Council may fix any place within the confines of The Ohio Valley Region area as the place for holding such special meetings.

Section 9. QUORUM

Circumstances (Ref. Article IV, section 11), Central and Northwest Ohio Base Committee Chairman shall not be included in the requirements for quorum unless they are present.

Section 10. VACANCIES

Any vacancy occurring on The Ohio Valley Regional Council may be filled by The Ohio Valley Regional Council. The name and qualifications must be presented to The Ohio Valley Regional Council one (1) month prior to voting on the position to be filled.

Section 11. ATTENDANCE

Any member who is absent three (3) meetings within the current calendar year will be subject to dismissal from The Ohio Valley Regional Council.

Section 12. REMOVAL

Any director may be removed by a two-thirds (2/3) vote of the members of The Ohio Valley

Regional Council provided statement of cause has been discussed with the director involved.

 

ARTICLE IV               DIRECTORS - JOB DESCRIPTIONS

Section 1. ELECTIONS
  1. Directors shall be elected at the regular April meeting each year.
  2.  The Nominating Committee report shall be read.
  3.  A simple majority of those directors present shall be sufficient for the purpose of electing directors.
  4.  Balloting shall be a secret written ballot unless otherwise decided by a regularly passed motion at the April meeting.
  5. Vacancies shall be filled by The Ohio Valley Regional Council at any regular meeting (Ref. Article III, Section 10).

 2. COUNCIL CHAIRMAN

The Council Chairman shall be the chief executive officer of The Ohio Valley Regional Council and shall, subject to the control of The Ohio Valley Regional Council, have general supervision, direction, and control of the business and officers of The Ohio Valley Regional Council. He shall preside at all meetings of The Ohio Valley Regional Council. He shall ex-officio, be a member of all committees, and shall have powers and duties as may be prescribed by The Ohio Valley Regional Council or the Constitution and By-Laws. 

Section 3.  COUNCIL CHAIRMAN-ELECT/SECRETARY

The Council Chairman-elect /Secretary shall in the absence or disability of the Council Chairman perform the duties and exercise the powers of the Council Chairman, and perform such other duties as the Regional Council shall prescribe. He shall also keep a book of minutes to include; time, place, date, type (regular, special), names of those present, and business and reports transacted. He shall send minutes of the previous meeting with notice at least six days prior to the next meeting. He shall conduct the correspondence of the Regional Council and write any letters as directed. He will serve in this capacity for a period of one year, and assume the Council Chairman's position the following year. 

Section 4.  CHAPLAIN

The chaplain shall act in an advisory capacity to the Regional Council. He shall bring a devotion and prayer at the beginning of each meeting, and advise the other activities in regard to spiritual matters.

Section 5. TREASURER

The Treasurer shall receive and manage all funds of the Regional Council, or designate funds to be kept in sub-accounts. He shall pay all bills by check as authorized by the Regional Council. He shall keep an account and provide a report at regular Council meetings. The Treasurer will work with the staff person in filing of annual tax records. 

Section 6. CAMP COMMITTEE CHAIRMAN

The Camp Committee Chairman shall oversee the planning of summer camping activities for Christian Service Brigade at Stony Glen Camp. The Camp Committee shall be ultimately responsible to the Regional Council in programming and finances, but has authority to conduct the business that pertains to the summer camp. The Camp Committee Chairman shall issue a financial report to the Regional Council at each regularly scheduled meeting.


Section 7. ACTIVITIES COMMITTEE CHAIRMAN

The Activities Committee Chairman shall be responsible for overseeing the planning of each regional activity planned for the northeastern Ohio area. The Activities Committee shall be responsible for: establishing the annual calendar of events each spring, establishing fees, obtaining host units, preparing announcements, securing the necessary facilities, equipment and awards, and making sure that all rules of the activities are properly observed. 

Section 8.  PROMOTION COMMITTEE CHAIRMAN

The Promotion Committee Chairman shall be responsible for overseeing the development of communication activities to promote every aspect of the Ohio Valley Region CSB Ministries, Inc. work in Ohio. The committee shall work toward maintaining the full support of the CSB Ministries Regional Director and National Headquarters. They shall be responsible for keeping an updated address and telephone network for the purpose of communicating with each local unit. They shall also be responsible for the coordination of all Ohio Valley Region CSB Ministries, Inc. promotional mailings in Ohio. 

Section 9.  MEN'S MINISTRIES COMMITTE CHAIRMAN

The Men's Ministries Committee Chairman shall be responsible for overseeing the development of activities that meet the fellowship and spiritual growth needs of CSB Ministries leaders in Ohio. This committee shall be responsible for planning the Annual Brigade Banquet for northeastern Ohio.

Section 10. TRAINING COMMITTEE CHAIRMAN

The Training Committee Chairman shall be responsible for providing leadership-training events for the Ohio Region.

Section 11. OHIO REGION DISTRICT BASE COMMITTEE CHAIRMEN

Ohio Region District Base Committee Chairmen (i.e. Central Ohio and Northwest Ohio) should have committees set up to advance the purposes of Ohio Valley Region CSB Ministries, Inc. in their perspective districts. The Chairman of these Ohio Region District Committees shall serve on the Regional Council and shall be responsible for coordinating the efforts of Ohio Valley Region CSB Ministries, Inc. in their respective districts.  The Base Committee Chairmen will meet with the Regional Council at the first and last meeting of the fiscal year (Fiscal year begins July 1). District Base Committee Chairmen are also encouraged to attend other regular and special meetings of the Regional Council. 

Section 12. REMOVAL See Article III, Section 12.
 

ARTICLE V                FINANCE

Section 1. NON-PROFIT ORGANIZATION

The Regional Council will operate in such a manner as not to contemplate pecuniary gain. The securing of funds for the Regional Council shall be met by the voluntary support of churches, foundations, organizations, persons interested in its development, and by a certain portion of fees from events held.

Section 2. BANK DEPOSIT
The Council shall deposit the funds of the Ohio Valley Region CSB Ministries, Inc. in checking and savings accounts as determined best. Regional Council shall designate those authorized to write checks or draw on savings accounts.
 
ARTICLE VI.              AMENDMENTS

These Constitutions and By-Laws may be repealed or amended or new By-Laws may be adopted by a two-thirds (2/3) vote of the Regional Council at any duly convened meeting of said Regional Council, if such proposed changes are presented in writing to each Regional Council member at least one month prior to voting on the amendment.

 

ARTICLE VII             DISSOLUTION 

In event of the dissolution of the Regional Council, its assets shall be applied and distributed as follows: (a) All liabilities and obligations of the Regional Council shall be paid in full, (b) Any remaining assets shall be distributed to CSB Ministries, Inc.

 

ARTICLE VIII           STANDARDS OF FAITH
  1. We believe the Scriptures of the Old and New Testaments as verbally inspired by God and inerrant in the original writing, and that they are of supreme and final authority in faith and life.

  2. We believe in one God, eternally existing in three persons: Father, Son and Holy Spirit.

  3. We believe that Jesus Christ was begotten by the Holy Spirit, born of the Virgin Mary, and is the true God and true man.

  4. We believe that man was created in the image of God; that he sinned and thereby incurred not only physical death, but also that spiritual death which is separation from God; and that all human beings are born with a sinful nature, and, in the case of those who reach moral responsibility, become sinners in thought, word, and deed.

  5. We believe that the Lord Jesus Christ died for our sins, according to the Scriptures, as a representative and substitutionary sacrifice; and that all who believe in Him are justified on the ground of His shed blood.

  6. We believe in the resurrection of the crucified body of our Lord, in His ascension into Heaven, and in His present life there for us, as High Priest and Advocate.

  7. We believe in the personal and imminent return of our Lord and Savior, Jesus Christ.

  8. We believe that all who receive by faith the Lord Jesus Christ are born again of the Holy Spirit, and thereby become children of God.

  9. We believe in the bodily resurrection of the just and the unjust, the everlasting blessedness of the saved, and the everlasting punishment of the lost.
